These Terms of Service ("Terms") govern your access to and use of our website, consulting services, technological implementations, and related resources (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and all applicable laws and regulations.

1. Advisory Services Disclaimer

While Gravitor specializes in the intersection of legal frameworks and technology, our Services do not constitute formal legal representation, tax advice, or financial planning unless explicitly stated in a formal Engagement Letter. Communications between you and Gravitor via this website do not create an attorney-client relationship.

2. Engagements and Scope of Work

Specific consulting engagements, technological implementations, and advisory partnerships are governed by individual Statements of Work (SOWs) and Master Services Agreements (MSAs). In the event of a conflict between these general Terms of Service and a fully executed MSA, the terms of the MSA shall prevail.

3. Intellectual Property

All content, proprietary frameworks, methodologies, source code, branding, and materials provided by Gravitor remain the exclusive intellectual property of Gravitor Consulting, unless explicitly transferred via a written agreement. You may not reproduce, distribute, modify, or create derivative works from our proprietary materials without prior written consent.

4. Confidentiality

We treat all client and prospective client information with the strictest confidentiality. Information shared with us during inquiries or Clarity Calls will not be disclosed to third parties except as required by law or to facilitate our advisory services with your explicit consent. Formal Non-Disclosure Agreements (NDAs) are typically executed prior to detailed operational discussions.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Gravitor Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or operational capacity incurred by your enterprise, arising out of or related to your use of our website or informational resources.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the competent courts located in Abuja, FCT.

7. Modifications to Terms

Gravitor reserves the right to modify or replace these Terms at any time to reflect changes in our operational focus or regulatory environment. We will provide reasonable notice of any material changes. Continued use of our Services following such modifications constitutes your acceptance of the revised Terms.
